Reading the filings

  1. The filer is not “Eden.”All three notices are filed under Higia, Inc., the Delaware corporation formed for the original Eva breast cancer bra. The brand changed to Eden around 2021 to 2022; the SEC filer name never did.
  2. The 2022 round fell short of what was reported.Press aggregators put the round announced around June 2022 near $7 million. The Form D covering that period, filed in May 2023, well past the usual 15 day window, shows $5,403,130 sold to 7 investors, fully subscribed against that specific offering. The gap could reflect a different accounting of the round, additional unfiled capital, or a rounded press figure.
  3. The April 2024 filing landed before the announcement.First sale was April 16, 2024 and the notice was filed April 30, 2024. The public release crediting Sierra Ventures with a “$10M” round did not appear until July 17, 2024, about eleven weeks later. Sierra Ventures managing partner Mark Fernandes appears as a new director on that same filing, tying the paperwork to the announced lead investor.
  4. Average check size has grown with each filing.About $268,600 per investor in 2020, rising to about $771,900 in the 2022 filing and about $1,315,300 in the 2024 filing. Fewer, larger checks track a company moving from an angel heavy cap table toward institutional venture rounds.
  5. No Form D has appeared for the announced $22 million Series A.Eden and Sierra Ventures both described the October 2025 round as $22 million, but a full text search of SEC EDGAR under Higia, Inc. as of September 25, 2026 turns up no filing dated after April 2024. If the round has priced and begun closing, a notice would normally be due within 15 days of the first sale under Regulation D.
  6. The board has changed with the money.Directors named across the three filings are Julian Rios Cantu in all three; Jose Antonio Torres or Torres Gonzalez in the first two; Nicholas Berman in all three; and, starting only in 2024, Raymundo Gonzalez Leal and Sierra Ventures’ Mark Fernandes.
