Reading the filings
- The Series A is closed, not a target.$60,000,000 offered and $60,000,000 sold, nothing remaining, 40 investors, $1,500,000 each on average. The Form D was filed on March 24, 2026, the same day as the press release. An offering that lands filed and full on announcement day was papered before the news went out.
- The headline understates the new equity.The spinout had already sold $6,090,946 to 9 investors, first sale January 2, 2026. Adding that to the Series A gives $66,090,946 for the year. Forbes reported in September 2026 that Gilgamesh raised “another $70 million afterwards”; the filings account for about $66.1 million of it, and the January tranche was never announced.
- Angels reached the round through Sydecar.Two series vehicles, one named for What If Ventures and one for TL Capital, pooled $3,606,450 from 38 people at an average of about $94,900, and appear in the company filing as two of the 40 investors. A Prime Movers Lab vehicle filed a month earlier with nothing sold, the usual sequence for a fund assembling an allocation.
- The old company stopped filing while the announcements continued.The last Form D under CIK 0001817048 reports $13,761,009 sold of $50,000,001 as of May 19, 2022. Seven months later the company announced a closed $39 million Series B. No amendment was filed. Pharmaphorum likewise called the 2021 round a $27 million Series A while the Form D reports $34,701,837 from 66 investors.
- The lead investor has been a director for five years.Sporn, Kruegel, Amy Kruse, Phil Skolnick and Robert Berman appear on both the 2022 and 2026 filings. Gaetano Crupi is gone and Zia Huque is new. Kruse joined the board in 2021 from Prime Movers Lab and led the 2026 round from Satori Neuro.
- The non-dilutive figure needs a footnote.A $14 million NIDA grant was announced in March 2024. RePORTER shows $2,747,151 obligated in FY2024 and $841,274 in FY2025 on UG3DA060053, a total of $3,588,425. The remainder sits in a later phase released only on milestones.
