Reading the filings

  1. The company has never filed for itself. There is no Osmind Inc. CIK in EDGAR and no Form D under the company name. All five filings naming Osmind were made by other people’s vehicles. Issuers raising under Section 4(a)(2) rather than Regulation D file no Form D, so the absence does not mean no money moved. It does mean EDGAR accounts for $1,420,592 of a reported $57 million, about 2.5% of the total and 3.6% of the Series B.
  2. The round was funded well before it was announced. The earliest first sale is March 18, 2022. The Series B was announced on May 10, 53 days later. Four of the five vehicles had already taken money before the press release; the fifth took its first eight days after.
  3. These are small checks in volume, not institutional allocations.$1,420,592 across 68 investors averages about $20,900 each, from roughly $10,200 at V360 to $46,000 at the first What If series. Stated minimums were $5,000, except Leiter Chu at $10,000. That is syndicate and angel money riding alongside DFJ Growth.
  4. One filing is nearly three years late.V360 Holdings reported a first sale of May 18, 2022 and filed on March 3, 2025, about 33 months later. Form D is due within 15 days of first sale. Nothing explains the delay.
  5. One sponsor, two vehicles, two months apart. What If Ventures filed one series in March 2022 and a second, Osmind 2022, in June for an April first sale, classified as an other investment fund rather than a venture capital fund. Together they moved $668,592 from 22 investors, the largest sponsor position in the record.
  6. The paper trail stops. No round has been announced since May 2022 and none filed since March 2025. Reporting still cited the same $57 million total in December 2024. The filings do not say whether that reflects a company funding itself from revenue or a financing that has not surfaced.

What to watch

  • A Form D under an Osmind Inc. CIK, which would be its first direct filing.
  • Any amendment from V360 Holdings explaining the 33 month filing gap.
  • Whether the $57 million total is ever revised. It was unchanged from May 2022 through December 2024.
  • A CHPL certification listing.
