Reading the filings

  1. Two filings report one investor each, which is not what it sounds like.The April 2025 and March 2026 Form Ds each list a single investor and name Wefunder Portal LLC as receiving sales compensation. That is the Rule 506(c) accredited side of a crowdfunding campaign, where the platform pools accredited money into one entity. One investor on the filing stands for an unknown number behind it.
  2. The early money came in institutional sizes.September 2021: $6,950,000 from 29 investors, about $239,655 each. July 2021 before it: $1,025,000 from 8 investors, about $128,125 each, against a stated $50,000 minimum.
  3. The related-persons roster keeps changing.Arunas Chesonis, managing partner of Safar Partners, is an executive officer, director and promoter on the September 2021 filing and on no other. Kane and Kapas are on the July 2021 filing, vanish from the next two, and return in 2025 and 2026. Cullinane is on all five.
  4. Three years without a Form D is not three years without money.Nothing was filed between June 2022 and April 2025, and the May 2024 announcement of a round past $5 million sits inside that gap. Crowdfunding runs on Form C; a Section 4(a)(2) placement needs neither.
  5. The large offerings stayed mostly unsold.June 2022 offered $15,000,000 and sold $2,550,000. March 2026 offered $6,000,000 and sold $1,080,537. No amendment has been filed on either.
  6. The grant figure in the deal data is low.Kingscrowd lists $352K in grants. NIH RePORTER records $326,500 in FY2023 plus FY2024 supplements of $55,000 and $97,580 under NIDA award R43DA059474, or $479,080.

What to watch

  • A Form D or Form C after March 2026. The reported January 2026 runway ran to roughly April 2026.
  • Amended Form Ds on the June 2022 and March 2026 offerings, which still show large unsold balances.
  • A priced round. Both community campaigns sold SAFEs, and the cap moved from $55 million to $95 million in twelve months with none disclosed in between.
  • A named licensing counterparty, and any FDA record at all under either name.
