Reading the filings

  1. The paperwork beat the press release by 108 days.The second notice was filed March 27, 2017. The $2.4 million seed was announced July 13, 2017. Anyone reading EDGAR in April knew the size of the offering, $2,500,000, three and a half months before the coverage ran.
  2. Two offerings in 14 days is a round being restructured.The March 13 notice covers equity and debt with a first sale on March 3, right at the end of the Winter 2017 batch. The March 27 notice covers equity and options, three times the size, with a first sale on March 22. The usual reading is a bridge or note that was replaced by a priced round once the batch closed, though the filings do not say so.
  3. The record stops at $395,000.Adding both notices, $3,250,000 was offered and $395,000 had been sold when they were filed, across 7 investor slots. The announced round was $2.4 million. Regulation D does not require an amendment when more of a noticed offering sells later, so the gap is a reporting artifact, not a contradiction. The consequence is the same: the closed round never appears in a filing.
  4. Early checks, not lead checks.$145,000 from 3 investors is about $48,333 each. $250,000 from 4 is $62,500 each. Those are first-close angel sized amounts. The named lead, Founders’ Co-op, does not appear in either filing, which is consistent with the institutional money arriving after both notices were filed.
  5. One name on both filings.Michael Wasser is the only executive officer or director listed. No investor board seat ever appears on the record, before or after the seed.
  6. Nothing since March 2017.EDGAR holds exactly two documents for this CIK, and a full text search of all of EDGAR for “BloomAPI” returns those same two. No later Form D, no acquirer disclosure, no dissolution. Nine and a half years of corporate life sit entirely outside the securities record.

  • Whether the Delaware entity is ever wound up or the name assigned. The open source repositories remain public while the hosted API path redirects.
