Haplotype Labs
One Form D, filed in April 2024, fully subscribed at $1.1 million from five investors. Nothing has been filed since. The gap between that number and the $1.6 million the aggregators report is almost exactly the size of a Y Combinator check.

Reading the filings
- Five checks of institutional size.$1,100,000 divided by five investors is $220,000 each, against a stated minimum of $50,000. That is a fund sized ticket, not an angel list, and it matches the four venture names PitchBook attaches to the round.
- The round closed at exactly what was offered.Offered $1,100,000, sold $1,100,000, remaining $0, reported on a new notice rather than an amendment. A company that files after the offering is complete has already decided how much it wants.
- The missing $500,000 is the size of a YC deal.PitchBook and CB Insights both put total raised at $1.6 million. Subtract the $1.1 million on the Form D and $500,000 is left. Y Combinator publishes its standard deal as $500,000, made as a $125,000 post-money SAFE for 7% plus a $375,000 uncapped MFN SAFE. Dealroom separately logs a $125k seed entry for the company. SAFEs are commonly sold under Section 4(a)(2), which requires no Form D, so the arithmetic is consistent even though only one notice exists.
- The notice claims two federal exemptions. Both Rule 504(b)(1) and Rule 506(b) are checked on the same form. The filing does not say why both, and the two rules carry different offering ceilings and different state law consequences.
- No board has been disclosed.Item 3 names one related person, Michael Polcari, as executive officer. No director is listed, on a round with four named venture investors. Either no board seat was taken or none was reported.
- Nothing has been filed in 29 months.First sale was March 29, 2024. There is no amendment and no second Form D through September 23, 2026, and no aggregator records a round after April 2024. Money raised under Section 4(a)(2) leaves no Form D, so silence is not proof that nothing moved, but it is also not evidence that anything did.
- A genomics company filed as Other Technology. The issuer skipped the Health Care, Biotechnology and Pharmaceuticals boxes and selected Other Technology, and declined to disclose revenue. The principal place of business on the filing is a residential street address in Orinda, California.

What to watch
- A second Form D. It would be due within 15 days of a first sale in a new offering.
- An amended notice or a new filing that names directors, which would show whether an investor took a board seat.
- Any named customer or disclosed revenue, both absent from every record reviewed.
- Whether headcount moves past one, the only operating number any source reports.
