Reading the filings

  1. The 2013 round was bigger than the headline and broader than one fund.Press called it a $3 million Series A from DFJ. The filing reports $3,216,000 offered and $3,216,000 sold to 12 investors, an average of $268,000 each. A lead fund does not need 11 co-investors, so angels or a syndicate came in alongside DFJ.
  2. A meaningful slice went to insiders. The 2013 filing earmarks $475,000 of gross proceeds for payments to officers, directors and promoters, about 15 percent of the round. The 2012 note filing earmarks $120,000 of a $300,000 offering for the same purpose, but only $90,000 of it was ever sold.
  3. The last financing was a bridge that kept being extended. One offering opened on August 27, 2015 at $200,000 from a single investor, then was amended three times in four months: $250,000 on January 11, 2016, $300,000 on February 11, and $350,000 on May 10, when a second investor appears and the minimum check drops to $50,000. Convertible debt topped up in $50,000 increments is not growth capital. The acquisition was announced eight months later.
  4. The cap table team changed between the equity round and the bridge. The 2012 and 2013 filings list co-founder Becky Drees as an officer and director and Jeremy Bruestle as an officer. By October 2015 Drees no longer appears, Bruestle is a director only, and a new director, Richard Jacroux, has joined. These lists are not a full board roster, but the change is on the record.
  5. Filed totals sit below reported totals, and the 2019 relaunch left no trace at all.Form Ds account for $3,656,000 between 2012 and 2016. Mangubat told Chemical and Engineering News in 2013 that total financing stood at $3.7 million; Forbes reported $5 million before the 2017 sale. Financings under Section 4(a)(2) produce no Form D, so early angel money would not appear. Nothing has been filed under CIK 0001555798 since May 10, 2016, including for the raise the founder said was starting in 2019.
