Reading the filings

  1. The absence of a Form D is itself the finding.Seven years of venture rounds produced no Regulation D notice under the company’s name. Issuers raising under Section 4(a)(2) rather than Regulation D file nothing, so the gap does not mean no money moved; it means the $32 million is documented only by press releases and databases.
  2. The buyer paid more to keep the people than to buy the platform.$3,530,000 of restricted stock units went to four employees, about $882,500 each, against $2,400,000 of stock to the company. That is a ratio of 1.47 to 1 in favor of retention. It is the signature of an acquihire, and it is disclosed in a document the company itself did not have to file.
  3. The stock consideration is about seven cents on the dollar raised.$2,400,000 divided by $32,000,000 is 7.5 percent, and the company’s own figure was “more than $32M”, so the true ratio is lower. Whatever the drug assets are worth, they were not in this transaction and were not priced by it.
  4. Structure separates Reverie from the comparable deal.In the same 10-Q paragraph, Patch Biosciences was acquired by merger for about $14,400,000 of stock. Reverie was an asset purchase of infrastructure and software. A merger takes the whole company, pipeline included. An asset purchase takes what the buyer wants and leaves the shell holding the rest.
  5. Nothing in the capital stack was non-dilutive.No NIH grant, no NSF award, no SBIR. Unlike most preclinical oncology companies, Reverie carried the full cost of its chemistry on equity, at an amortized cost the CTO put at roughly $2,000 per molecule synthesized plus several thousand in assays.
  6. The milestone line was worth nothing to the next round.The CTO wrote that when the company sounded out a Series B, “it became clear that most biotech investors valued these programs at ~$0 beyond the reputation signaling that we weren’t total clowns”. A marquee Roche and Genentech collaboration did not convert into a financeable balance sheet item.
