Reading the filings

  1. The absence of a Form D is normal, not evasive. An issuer selling under Section 4(a)(2) rather than Regulation D files no Form D at all. Priced institutional rounds usually do file, so seven tracker-reported rounds with zero notices points to safes and notes throughout. Either way, the SEC record carries no dollar figure for this company.
  2. The trackers disagree by more than the smallest of them.PitchBook says $15.5M, CB Insights $12.11M, Tracxn $9.45M. The spread between the high and low figures is $6.05M, which is 64% of Tracxn’s total. They also disagree on round count, 7 against 2, and on investor count, 33 against 16. None of the three is a filing.
  3. Only two amounts exist anywhere on the public record.A $125K accelerator cheque in 2018 and a $2.0M seed in 2019, with raised to date reported as $2.12M at that point. Every round after April 2019, including the Series A, is undisclosed. The $9.3M Series A figure comes from a single tracker and is unconfirmed elsewhere.
  4. The company stopped talking about capital and started talking about revenue. The 2026 Inc. 5000 ranking at No. 840 is based on revenue growth from 2022 to 2025 and requires at least $2 million of 2025 revenue to qualify. That is the only revenue-linked figure with an external gatekeeper behind it. A separate tracker estimate of $5M ARR for 2024 is a model output, not a disclosure.
  5. The hiring pattern is what a company does before a large raise or a sale.In August 2025 a former MDLive chief executive took the CEO seat and a former Teladoc chief operating officer became executive chairman. In 2026 the company added a CFO whose stated record includes due diligence on a private equity exit. Those are exit-adjacent hires, not product hires.
  6. Revenue risk has moved onto the balance sheet. The Aetna Better Health of Illinois announcement says Blueberry “guarantees its fees against emergency department costs” and that “If the program’s savings do not exceed its fees, Blueberry will reimburse Aetna Better Health of Illinois.” That converts a subscription into a performance obligation. No reserve, contract value or claw-back figure has been published.

What to watch

  • A first Form D. It would be due within 15 days of the first sale of any Regulation D round, and would be the first hard number since 2019.
  • Whether any health plan publishes its own claims analysis of the program rather than restating the company figure.
  • Renewal or non-renewal of the Illinois, Nevada and Texas contracts, which is the real test of the fee guarantee.
  • An acquisition. The 2025 and 2026 hires came from MDLive, Teladoc and Allscripts.
