What the filings show
No Form D on record
- Search
- SEC EDGAR company search for Form D filers, name field “axle” and variants including “axle health”
- Result
- Four companies match “axle”: Axle Labs Inc, Axle Technologies Inc, Axlehire Inc and Axlen Inc. None is Axle Health, and no separate entity named Axle Health or a related single-purpose vehicle appears
- Coverage
- Companies that raise under Section 4(a)(2) rather than Regulation D file no Form D at all, so this absence does not by itself mean no securities were sold

Reading the record
- Two different totals, three weeks apart.Axle’s own February 22, 2024 release said the new $4.2M brought its total raised to $4.4M. A founder interview published by LA TechWatch on March 5, 2024, less than two weeks later, put the company’s total funding at $7.0M instead. Neither figure has been withdrawn or reconciled in later company materials.
- The Series A has no visible paper trail.A $10 million equity raise led by an institutional investor would ordinarily generate a Form D within 15 days of the first sale. As of September 2026, sixteen months after the May 2025 announcement, no such filing is visible under Axle Health’s name in EDGAR.
- The company’s earliest capital is undocumented by design.Axle’s 2021 seed round, raised alongside its Y Combinator batch, was never disclosed by amount. That is common for early angel and YC-era rounds, but it means the $4.4M to $7.0M range for 2024 cannot be broken into a seed figure and a Series seed figure without company cooperation.
- No related-persons or board data is available.Because no Form D has been filed, there is no public record naming Axle’s directors, executive officers or the size of individual investor checks, the kind of detail a filing like this ordinarily supplies.
