Reading the filings

  1. The filing came first, and it was bigger.The Form D was filed on October 16, 2020 with a first sale of October 2. The press release went out on November 20, thirty five days later, and called the round $7 million. The filing reports $9,574,826 sold, a difference of $2,574,826. An offering sized to exactly the amount already sold, with a first sale weeks before the announcement, is the shape a round takes when earlier instruments convert into it. Nothing in the filings says so, and no amendment explains the gap.
  2. Forty one checks became two.$9,574,826 across 41 investors is about $233,532 each, which reads as a priced round with a lead plus a long tail of angels. In May 2023, $1,254,212 across 2 investors is about $627,106 each. The average check roughly tripled while the investor count fell by 39. Two investors is the signature of an insider round.
  3. The 2023 round was never announced and never closed out on the record.It offered $3,250,000 and reported $1,254,212 sold, leaving $1,995,788 unsold at filing. No amended Form D has appeared in the three years since, and no press release was found. Regulation D requires the initial notice within 15 days of first sale but no progress updates, so the silence proves nothing either way.
  4. The board seat announced in 2020 first appears in a filing in 2023.The November 2020 release said Neotribe was joining the board. The Form D filed a month earlier lists only Akwasi Apori and co-founder Samuel Tia. Kittu Kolluri, Neotribe’s founder, shows up as a director on the May 2023 filing, alongside co-founder Kursad Araz. Samuel Tia is absent from the 2023 filing, though he was still presenting the company’s work at a conference in May 2024.
  5. Grants are a small slice here, which is unusual for a Berkeley hardware spinout.$823,898 of NIH and NSF SBIR money against $10,829,038 of filed equity is about 7 percent. For most preclinical device and diagnostics companies the ratio runs the other way. Correlia raised its non-dilutive money in 2014 to 2016 and has no federal award on record since.
  6. No vehicles, no syndicates, no second issuer.An EDGAR full text search returned only the company’s own two filings under CIK 0001827990. No SPV or fund named after Correlia appears, and there is no name collision to disentangle. Both filings are direct issuer offerings under Rule 506(b).

  • Further federal awards; none on record since 2016.
