Reading the filings

  1. The only filing is not the company’s.Scanbase, Inc. has no Form D of its own. The single notice on record was filed by a special purpose vehicle formed to buy into it. Companies that raise on SAFEs under Section 4(a)(2) file no Form D at all, so the absence does not mean no money moved. It does mean the company has never put its own offering amounts on the record.
  2. The checks are angel size, and there are a lot of them.$321,426 divided by 110 investors is about $2,922 each. That is a syndicate, not a fund. The vehicle sold out exactly: offered and sold are the same number, which is how a syndicate that allocates a fixed slot reports.
  3. The name points at the syndicate lead.The series is called Scanbase Leonis. Leonis.vc is the syndicate run by Gabriel Jarrosson, described by its SPV provider as one of the largest French angel syndicates, with over 750 investors, and Sydecar notes that “His syndicate, Leonis.vc, invests primarily in YC companies.” Sydecar LLC is named in the filing as administrator. The filing does not name the lead, so the connection rests on the series name and the administrator.
  4. The reported $500K is the accelerator deal.Aggregators list a $500K seed in April 2023. Y Combinator publishes the same number as its standard terms: “we invest $500,000. $125,000 of our investment converts into a fixed 7%, and the other $375,000 is invested on an uncapped MFN SAFE.” A reported total that matches the standard deal to the dollar is more likely the batch investment than a priced round.
  5. The investor lists do not agree.Startup Intros names Innovation Endeavors, Tucker Seed Fund LLC, Y Combinator, David Lieb and Sasha Medvedovsky. The company’s own about page names Y Combinator, Liquid 2 Ventures, Rebel Fund and TRAC. Tracxn names only Y Combinator, dates the founding to 2004 and describes the business as care planning software, which is wrong on both counts. None of the three lists can be checked against a filing.
  6. The filing was on time and the fees were small.First sale April 17, filed May 2, which is the 15 day deadline used to the day. $6,181 of organizational and operating expense is about 1.9% of the raise, and no commissions or finders fees were paid.
