Reading the filings

  1. The money was announced but never filed.$20.9 million across two rounds, and nothing in EDGAR. A US issuer selling under Regulation D must file a Form D within 15 days of the first sale. An issuer relying on Section 4(a)(2), or selling offshore under Regulation S, files nothing. Junction began as a London company raising from European funds, so the gap is explainable. It also leaves no filed figure to test the press releases against.
  2. Do not read the Denver company as this one.EDGAR holds Form D notices from a Junction Health, Inc. in Colorado, incorporated in Delaware in 2024, with five officers and $3,125,000 sold. None of it connects. Anyone pulling Junction’s funding history from an EDGAR name search picks up the wrong issuer.
  3. The UK entity never received the capital.Adept Labs Limited was incorporated with GBP 1 of share capital and has filed no return of allotment in almost five years. It has filed micro entity accounts for every year end from Nov 2022 to Nov 2025, a regime open only to very small companies. An $18 million Series A did not land here. The operating parent is the US company, Adept Labs Inc., which the terms of service name as the contracting entity under Delaware law.
  4. One name still holds the British company.Maitham Assaad Dib has been sole director since incorporation and is the only person with significant control. Two rounds on, Companies House shows no investor director and no second officer.
  5. With no filings, the commercial record carries the weight.There is no FDA clearance, no registered trial and no federal grant. What can be checked is the customer list: TechCrunch named Found, Parsley Health and Evidation, and Longevity.Technology named Lifeforce. Junction claims more than 140 organisations. Revenue is undisclosed; GetLatka estimates $4.1 million for 2024, an outside estimate rather than a company figure.
  6. Two volume numbers landed on the same day.On March 11, 2025 the company release and Longevity.Technology both reported more than 500,000 lab tests a year, while Dib told TechCrunch the company was “on track to do about a million lab tests this year.” Neither figure has an audited source.

What to watch

  • A Form D, if the next round is sold into the United States under Regulation D.
  • A return of allotment at Companies House, showing the UK entity capitalised.
  • A second officer or an investor director appearing on the UK register.
  • Any audited or repeated lab volume figure, after two were published on one day.
  • Whether the device count settles. The site said 500 or more in March 2025, and 300 or more now.
