Reading the filings

  1. The filed number beat the announced number. The press release said $200 million. The Form D filed the same day reports $209,019,995 sold of $234,019,991 offered, from 24 investors, about $8.71 million each. The round closed larger than the number in the headline.
  2. Reported lifetime funding matched only part of the record.Fierce Biotech wrote in 2021 that the Series C far outpaced a previous tally of about $40 million in lifetime financing. The Form Ds through August 2020 total $40,559,055. The next two filings add $33,751,153, bringing the pre Series C total to $74,310,208. Both report options to acquire rather than equity, which fits convertible paper counted at conversion.
  3. Angels came in through a Utah vehicle. In May 2020 a single company series of Assure Labs 2020, LLC raised $52,968 from 7 investors with a $2,500 minimum, and paid $3,294 as offering expenses, 6.2 percent of the raise.
  4. The December 2025 filing is a different kind of round. Two investors, $20,118,247 sold, $36,500,000 still on offer, first sale November 20, 2025. Two checks of about $10 million each after a four year gap read as existing holders, not a new lead. Current releases name SoftBank and Khosla Ventures as backers.
  5. The board turned over almost completely. The 2021 filing names Brennan-Badal, Chau, Greeley, Strohband, Hippeau and Potter. The 2025 filing names Atwood, Mitchell, Potter, Morgan and Franck. Only Myrtle Potter appears on both. James Atwood had taken over as chief executive in July 2025, six months before the company said so publicly.
  6. The address moves track the business.68 Jay Street in Brooklyn in 2017, 285 13th Street in Manhattan in 2021, and 45-18 Court Square West in Long Island City in 2025, the same site where Pandemic Response Lab was wound down at the end of 2022.

What to watch

  • An amended Form D on the December 2025 offering, which would show whether the remaining $36,500,000 was taken up.
  • Whether a priced round follows, and at what valuation against the $1.8 billion reported in 2021.
  • Any disclosure of revenue or unit volumes, which the company has withheld on every filing.
  • Whether the four new directors named in 2025 point to a new lead investor or to a restructuring among existing holders.
