Reading the filings

  1. The biggest round left no federal trace.The $56.1 million Series B was announced June 8, 2021. No Form D for it exists under the Strateos, Inc. CIK, which has had exactly one filing since 2019. Issuers raising under Section 4(a)(2) rather than Regulation D file no Form D, so the absence is lawful, but the round is documented only by press coverage. Its one federal artifact is a side vehicle: Alumni Ventures put in $2,012,500 from 80 investors on July 1, 2021.
  2. The merger money landed before the merger was announced.First sale on the $16,500,003 was April 29, 2019; the Transcriptic and 3Scan combination was announced June 3, 2019. The Form D was filed July 8, seventy days after first sale, well past the fifteen-day deadline in Rule 503. Four investors averaged about $4.1 million each, matching a release naming DCVC, Lux Capital and Dolby Family Ventures.
  3. The announcement and the 2012 filing do not agree.Transcriptic told TechCrunch that more than 60 accredited investors contributed $150,000 through AngelList and SecondMarket, and called it the first significant equity round raised online. The Form D filed six days earlier reports 39 investors and $147,993 sold. A 2013 amendment raised the offering to $300,000 but the amount sold never moved.
  4. Small checks came through vehicles, never the cap table.The 2012 syndicate averaged about $3,795 a person, the 2021 Alumni Ventures vehicle about $25,156. Both were 3(c)(1) pooled funds, so 119 investors appear on EDGAR as two lines.
  5. An orphaned SPV outlived its sponsor.In April 2019 the 2012 vehicle reappeared as AL-Transcriptic-Fund, LLC under Assure Fund Management, amount sold restated to $146,845, in the same month the merger financing had its first sale.
  6. The board changed without a filing to show it.The 2019 Form D lists six related persons. By March 2022 DCVC partner Jason Pontin was chairman and Jeff Finer, chair for the prior three years, had moved to independent director. No later filing records the board.
