Reading the filings
- The Series A was half sold when it was announced.The release of July 21, 2026 calls it a $30 million financing. The notice filed the next day reports $14,354,342 sold and $15,645,658 remaining, from 12 investors, about $1,196,200 each. The $30,000,000 is an offering ceiling, not cash received.
- The seed round quadrupled and changed character.The January 2025 notice offered $2,000,000 and reported $1,084,679 from 8 investors. The November 2025 amendment keeps the same first sale date but lifts the offering to $7,918,951 and reports $7,142,974 from 50 investors. Forty-two investors were added at about $144,000 each: an extension filled by individuals and small vehicles, not a second institutional round.
- Form D undercounts the early years by roughly $3.2 million.An investor forum listing in October 2024 put money raised to date at $3.9 million of equity plus $750,000 non-dilutive. EDGAR shows only $709,999 of equity sold before 2025. Notes and SAFEs sold under Section 4(a)(2) file no Form D, so the gap is ordinary, but the public record starts well behind the company total.
- The board turns over, and one seat appears before it is announced.Jeffrey Tyber is listed as a director on the amendment filed November 26, 2025; his appointment was announced on January 12, 2026, seven weeks later. Cooper Collins and Stephen Ramon appear on the 2020 notice and on none after it. Tom Dugan sits on both 2025 filings and not the 2026 one, where Greg Banker of Vensana and Liz Zambory of Mutual Capital appear, matching the release.
- Grant money has become a rounding error.$782,475 of NIH awards against $22,207,315 of equity sold is about 3 percent. In the company’s own October 2024 figures, non-dilutive money was roughly 16 percent. The mix has shifted to venture capital, and with it the pressure to show revenue.
