Reading the record

  1. No Form D does not mean no money.Regulation D is one exemption among several. Securities placed under Section 4(a)(2), and many accelerator-era convertible instruments, trigger no notice. The absence proves only that BrainKey never ran an offering that required the form, which at this reported size is unremarkable rather than suspicious.
  2. The providers disagree by more than a factor of two.CB Insights: “Brain Key has raised $150K over 4 rounds.” Tracxn: “Brainkey has raised a total of $150K from 1 Seed round on Mar 19, 2019 from Y Combinator.” PitchBook: “Brainkey has raised $350K.” Dealroom itemises a $200k seed and a $125k seed, which is $325k, plus a spinout and a convertible with no figures. The $200K gap between the low and high totals is larger than any single disclosed round.
  3. The investor counts disagree too.CB Insights counts 7, Tracxn counts 8, PitchBook counts 13. Taking each provider on its own terms, $150,000 across 7 investors averages about $21,400 each, and $350,000 across 13 averages about $26,900 each. Both figures are angel scale. Neither is consistent with an institutional priced round.
  4. The last dated round is seven years old.Every provider places the last precisely dated financing in 2019, with PitchBook alone adding an early stage entry in December 2021. The company has operated continuously since, at a headcount reported as 20 by Y Combinator and 14 by PitchBook.
  5. The capital does not match the regulatory neighbourhood.The three named comparators in brain volumetry hold twelve FDA clearances between them, and clearance programmes cost money. BrainKey has no clearance and no public record of raising what a submission programme needs. Its terms resolve that by defining the product as research and educational, which is coherent and cheaper.
  6. Revenue looks like the working funding mechanism.One US practice publishes the retail split: “the cost is $950, which breaks down into the ProScan MRI ($500) and the BrainKey analysis of those images ($450).” At $450 an analysis, a few thousand scans a year would exceed every equity total any provider reports.

What to watch

  • A first Form D. Any priced round large enough to need one would end the vendor data disagreement in a single filing.
  • A 510(k) submission, which would signal that the company intends to sell into clinical interpretation rather than wellness.
  • Confirmation of the SimonMed relationship from SimonMed, and a name for the unnamed provider.
  • Whether headcount tracks revenue. Twenty people on $350,000 of lifetime equity implies the business pays for itself.
  • Any disclosure that reconciles the 7, 8 and 13 investor counts.
