Reading the filings

  1. Revenue outran disclosed capital. The only hard number anyone published is $418,975 of 2015 gross revenue, and it is founder-stated. No round size was ever disclosed, in any year, by anyone. A business at roughly $35,000 a month in billings on undisclosed capital is a cash flow story, not a venture story.
  2. The Shark Tank ask sets the only public valuation.$100,000 for 30 percent implies $333,333 post money in February 2013, against $21,000 of sales year to date and $7,500 the prior year. That is about 16 times sales for the year to date and about 44 times the prior year, and all five investors declined at it.
  3. The accelerator is the only verified outside investor.Y Combinator’s own directory confirms the Summer 2014 batch. Every other investor name comes from a Gust profile that marks all three unconfirmed, and none has been reported elsewhere.
  4. The capital that mattered at the end was debt, not equity.Arthur has described merchant loans that take daily debits from revenue, with repayments reaching about $9,000 a month against roughly $35,000 of monthly gross. Close to a quarter of collections was leaving as debt service while the business was trying to fund payroll.
  5. The last liquidity event was an asset sale, not an acquisition. The company closed first. The web address sold afterwards, in a bidding war Arthur described in Forbes in January 2017, and she said the proceeds paid off debt. The operating company was not bought.
  6. The absence of a Form D is the expected result, not a red flag.Accelerator instruments and small angel checks are routinely sold under Section 4(a)(2), which carries no filing obligation. It does mean no independent document states how much this company raised.
