Reading the filings

  1. The paper landed five months before the press release.The vehicle recorded its first sale on February 7, 2023 and filed on February 14. The Series A was announced on July 31 and August 1, 2023. Either the round had an early close that was never described publicly, or Gaingels came in on a bridge between the September 2022 seed and the Series A. Reporting says only that Gaingels invested “after participating in previous rounds,” yet Gaingels appears in no published pre-seed or seed investor list.
  2. The cheques in that vehicle are retail-sized.$80,000 across 11 investors is about $7,273 each, against a stated $1,000 minimum. That is a syndicate of individuals, not an institution taking a position. It is a rounding error next to the $12 million headline and tells you nothing about the round’s terms.
  3. The company itself files nothing.Remedial Health is Nigerian and has no Form D of its own. Form D covers only Regulation D offerings in the United States, so the absence is expected rather than suspicious. The effect is that the $17.4 million rests on press reports and investor posts, and no offering amount, share class, valuation or investor count can be checked against a primary source.
  4. A third of the headline is debt, and no lender is named.The $12 million splits $8 million equity and $4 million debt. Every outlet repeats one phrase for the debt, a consortium of local and international financial institutions, and none names a member. No development finance institution has disclosed an exposure. For a lender, the cost and tenor of its own funding matters most, and it is absent.
  5. The equity story is one lead compounding.Ventures Platform invested at pre-seed, seed and Series A, and called this its first Series A lead. Global Ventures led the first two rounds and does not appear in the Series A announcement. QED Investors entered at Series A, its third African investment after Moniepoint and FlapKap, and framed the thesis as embedded finance rather than distribution.

  • A published NAFDAC licence for the distribution entity, the credential a provenance business is selling.
  • Any audited or third party count of customers, volumes or credit losses.
