Either the money moved outside Regulation D, or a required notice was not filed

Reading the filings

  1. The whole capital base is one accelerator check.Tracxn records $500,000 in one seed round dated April 2024 with one institutional investor. That divides to $500,000 per investor, which is not a syndicate. It is also the exact size of Y Combinator’s published standard deal: $125,000 on a post money SAFE for 7 percent, plus $375,000 on an uncapped most favored nation SAFE. The company was in the Winter 2024 batch.
  2. There is nothing in EDGAR to read.No Form D exists under any Selera name. A SAFE sold to accredited investors is usually notified on Form D within 15 days of first sale, so the gap is worth noting, but issuers that rely on Section 4(a)(2) instead of Regulation D file nothing, and accelerator SAFEs are often papered that way. The absence proves no capital either way; it only means the public filing trail is empty.
  3. Non dilutive capital is zero.No NIH award, no NSF award, no SBIR or STTR. For a preclinical cardiovascular device that is unusual, and it removes the cushion that carries device startups through the years before first in human data.
  4. The money never reached a patient. The one registered study, NCT06554912, was posted in August 2024 and updated to WITHDRAWN in December 2024 with actual enrollment of 0. The registry gives the reason as “stop financial collaboration”. A sponsor and a site were in place; the funding for the collaboration was not.
  5. The burn ran out before the evidence started. The protocol called for contrast CT, right heart catheterization, thoracic duct access, stenting and six months of follow up per patient at a French university hospital. Against that, $500,000 is the entire reported capital base, spread across a two person team from 2023 onward.
  6. The register now reads as closed. The Y Combinator directory record carries the status value Inactive and flags both founders as no longer active, and seleramedical.com has shown the same “Coming Soon” placeholder from March 2024 to September 2026.

What to watch

  • Any Form D appearing under a Selera entity, which would be the first sign of new capital.
  • A published patent application naming Selera Medical, which would be the one transferable asset.
  • Whether the Grenoble protocol is refiled with a different collaborator.
  • Where the two founders land, and whether the approach follows them.
