What the filings show
Nothing, on the SEC side. A search of SEC EDGAR for Cellbyte, including a company browse by name, turned up no Form D notice for Cellbyte, Inc. or any similarly named US entity as of September 25, 2026. Cellbyte GmbH is a German entity, and a Form D is only required when a company sells securities to US investors under Regulation D. Y Combinator’s participation and the company’s own talk of expanding into the US both raise the possibility that a Delaware entity or Form D could follow, but none has been found yet.
The German commercial register fills part of the gap instead. Cellbyte GmbH is registered at the Amtsgericht München under HRB 270504, with a stated corporate purpose of “provision of software services, in particular for companies and consulting service providers in the pharmaceutical and life sciences sector,” per northdata’s translation of the register entry. Northdata records 3 managing directors and one shareholder for the company but does not disclose their names outside its paid tier, so Healthcare Venture Capital Fund could not confirm who currently controls the company from public sources.
Reading the record
- The company reused an existing shell.Cellbyte GmbH’s HRB 270504 registration was previously held by Glocally Technologies GmbH, co-founder Felix Steinbrenner’s earlier, Y Combinator backed parcel delivery startup. Northdata’s earliest indexed filing for the entity is dated September 29, 2021, three years before the 2024 founding date Cellbyte gives in its own materials. That gap is explained by the founders’ own account: Glocally needed a pivot, and Cellbyte grew out of it rather than starting from a fresh registration.
- The headline number moves depending on the outlet.Cellbyte’s own blog post and four separate news outlets, PharmaTimes, Startbase, Startups Magazine and HIT Consultant, all report the same $2.75 million figure for the November 2025 seed round. Munich Startup Platform, in a separate article a week later, reports “seed funding of 2.4 million euros” for what reads as the same round, same investors, same quotes. No Form D or other filing exists to settle which figure, or currency, is the more precise one.
- No filing means no independent check on investor stakes.Without a Form D, there is no public record of how much each of the five named backers, Frontline Ventures, Y Combinator, Pace Ventures, Saras Capital and Springboard Health Angels, actually put in, or of any minimum investment size. Everything about the round’s structure comes from the company and its investors’ own accounts.
- Earlier capital is undocumented.Cellbyte says it was founded in 2024 and reached six figures in annual recurring revenue within weeks of launch, which implies the company operated and built its platform on some source of capital before the November 2025 seed round. No pre-seed or bridge financing has been reported in any source found.

What to watch
- A Form D, if a US entity or a Delaware flip follows the company’s stated US expansion.
- Whether the $2.75 million and 2.4 million euro figures for the November 2025 round are ever reconciled in a single, precise number.
- Named managing directors and shareholders, currently hidden behind a paid commercial register tier.
- Additional named customers beyond Bayer, and any confirmation from Bayer itself.
