What the filings show

Nothing. A search of SEC EDGAR’s full text index for “Flowly” and for the company’s legal name, “Tamade,” returns zero Form D filings of any kind, under any form type, as of September 25, 2026. That does not mean no money changed hands. Companies raising only under Section 4(a)(2), or through instruments and amounts that do not trigger a federal filing, can go years without a Form D. It does mean this page has no SEC document to check the company’s own numbers against.

What does exist on the federal record is the grant. NIH RePORTER lists project R44DA049630 to Tamade, LLC of Pasadena, California, with Celine Tien as contact principal investigator, administered by the National Institute on Drug Abuse as a Small Business Innovation Research Fast Track award:

Reading the record

  1. The grant total lines up with what the founder told a reporter.Phase I plus Phase II comes to $1,214,571. In April 2021, before the Phase II amount had posted, Celine Tien told Inc. the company had raised $2.5 million to date “including a $1.2 million grant from the National Institutes of Health and National Institute of Drug Abuse.” That figure and the grant total are close enough to treat as the same number.
  2. The non-grant half of that $2.5 million has no public source.Subtract the roughly $1.2M grant amount Tien cited and about $1.3M in equity or other capital is unaccounted for on any filing. No Form D, no press release naming a lead investor, and no funding announcement for a priced round turned up in this review.
  3. Two aggregators, two different totals.CB Insights puts total funding at $1.83M with a last round of $500K about two years before its April 2021 snapshot. Tracxn records only a single $125,000 Y Combinator seed round dated September 2021. Neither matches the company’s own $2.5M figure, and the two aggregators do not match each other. This page cannot resolve the gap; it can only show it.
  4. The investor list is unconfirmed in at least one place.CB Insights names Sazze Partners, One Mind Accelerator, Healthworx Accelerator, Y Combinator and 500 Global among Flowly’s backers. One Mind Accelerator’s own published portfolio page, checked in September 2026, does not list Flowly; it lists a similarly named company, Flow Neuroscience, instead. Whether Flowly was an earlier cohort member that has since rolled off the list, or the aggregator conflated the two names, is not resolved here.
  5. No Form D means no investor count, no exemption type, and no related-persons list.Everything this page would normally read off a Form D, the number of investors, the average check, who sits on the board, simply is not filed. That is unusual for a company reporting a multi-million dollar raise and speaks to how much of Flowly’s capital structure sits outside what federal securities filings capture.

What to watch

  • A first Form D, which would be the first federal securities filing this company has ever made under either the Flowly or Tamade name.
  • Whether CB Insights, Tracxn or Crunchbase update their funding totals to agree with each other or with the company’s own $2.5M figure.
  • Confirmation, one way or the other, of Flowly’s presence in the One Mind Accelerator portfolio.
  • Named payers now that the company says it takes insurance in select states.
