What the filings show

Nothing. A search of SEC EDGAR’s company database for “Instalab” under any form type returned no results, and a full text search across EDGAR’s indexed filings for the word “Instalab” also returned zero hits, as of September 25, 2026. No Form D, amended or original, has been filed under that name. This matches the records already compiled for this profile: no Form D and no EDGAR mentions of the company in any filing by another entity.

Reading the filings, or the lack of them

  1. The $500,000 figure has no primary source.CB Insights, PitchBook and Startup Intros all independently report $500,000 raised from Y Combinator and Liquid 2 Ventures, but each is a third-party data aggregator, not a filing or a company statement found in this research. PitchBook labels the deal type “Seed,” separate from the accelerator line item, but gives no date or amount for it.
  2. A missing Form D is not unusual, but it is notable here.Companies that raise small rounds through SAFEs, convertible notes, or an exemption other than Regulation D can legitimately avoid filing a Form D. Y Combinator’s standard SAFE investment, and small angel rounds structured the same way, often fall under this pattern. CB Insights independently labeled the round a “Convertible Note,” consistent with a SAFE-style instrument rather than a priced equity round that would typically trigger a Form D.
  3. The founding year itself is contested.Y Combinator, the company, and this profile’s own intake record all list 2022. PitchBook lists 2021. No filing resolves which is correct, and the gap is small enough that it could reflect an incorporation date versus a launch date rather than an error.
  4. Headcount estimates diverge.Tracxn and PitchBook both report 11 employees as of 2026. Startup Intros, drawing on different signals, describes the company as having no reported employees in the same window. Neither figure is a filing; both are inferred from public profiles such as LinkedIn.
  5. No later round has been reported. No source found in this research describes a raise after the initial YC and Liquid 2 Ventures investment, and no press release, blog post or aggregator profile mentions a Series A or a named lead for a subsequent round.

What to watch

  • Any Form D that would finally put a filed date and amount behind the reported $500,000.
  • Whether the company raises a priced round, which would be more likely to generate a filing than a SAFE would.
  • Resolution of the 2021 versus 2022 founding date across trackers.
  • Confirmation, from a source other than an aggregator, of current membership and test pricing.
