Kilobaser

Reading the filings
- The 2023 insolvency was a US expansion failing to pay off, in the numbers.EUR 3.5 million of the EUR 5.2 million in liabilities was a loan from Kilobaser’s own US parent, Kilobaser Corporation. That is a related party balance, not outside debt, and it means most of the hole was money the corporate family had already put in and could not get back.
- No US securities filing exists for either side of the company.Neither “Kilobaser,” nor “Kilobaser Corporation,” nor the original name “Briefcase Biotec” turns up in an SEC EDGAR company or full text search. A company can raise money in the US without filing Form D if the offering is not a Regulation D offering, so the gap does not by itself mean no US money moved, but it does mean the size and structure of Kilobaser Corporation’s own capitalization is not independently documented.
- The buyer was a customer, by the founder’s own account.Alexander Murer described Biogenes Technologies as placing about $500,000 in development project orders, and said explicitly that it is “kein klassischer Investor,” not a conventional investor. That is a commercial relationship funding an asset purchase, distinct from an equity round, though it produced the same practical result: the Kilobaser product line continued under new ownership.
- The new company had its own financial event within about 15 months.MABEAL GmbH, registered in July 2023 with EUR 35,100 in capital, went through a restructuring proceeding without self administration announced in October 2024. The plan was legally confirmed and the proceeding lifted, with a payment deadline running to September 24, 2026, according to the Austrian business register. This is a second, separate distress event in the company’s short history, distinct from the 2023 Kilobaser GmbH insolvency.
- Aggregators disagree by more than 3 times on lifetime funding.Tracxn puts total funding at $625,000. PitchBook puts it at $1.99 million and marks the company “Out of Business,” a status that does not reflect MABEAL GmbH’s continued, Kilobaser branded operations. Neither figure matches the roughly EUR 1.6 million reported by Der Brutkasten for 2018 alone, converted at any plausible exchange rate.

| Product line | Kilobaser One and One-XT benchtop synthesizers in market; Kilobaser Industrial, a higher throughput version, and a nitrogen generator accessory (N2Go) announced for 2026. | Company stated |
| Intellectual property | US20190374946A1, granted patent on the synthesizer device, plus a pending microfluidic valve family (EP-3907006-A1, EP-4146396-A1, US-20230226547-A1, WO-2021224311-A1). | Public record |
What to watch
- Whether MABEAL GmbH meets the September 24, 2026 deadline under its restructuring plan.
- Any SEC filing, or its absence, for a US entity tied to the current business.
- Whether Biogenes Technologies is later described as an investor rather than a customer.
