Reading the filings

  1. Two notices, one filer, no vehicles.A full text EDGAR search for Form D filings naming GEn1E returns the company’s own two notices and nothing else: no special purpose vehicle, no syndicate series, no fund filing. For a YC biotech with a long angel list that is unusual, and the filed record is the whole record.
  2. Eighty-nine checks at institutional size. The 2022 offering sold $17,025,023 to 89 investors, an average of about $191,000 each, none of them non-accredited. That is too many names for a venture-only round and too large an average for a pure angel list. The shape fits a lead or two plus a long tail, or notes converting into the same security.
  3. Neither offering total is a round number.$18,223,556 and $11,887,377. Companies that negotiate a round file for $20,000,000. Totals this precise are usually the arithmetic of existing instruments, which is what convertible notes or SAFEs look like when they convert.
  4. The 2025 notice was filed late.First sale October 21, 2025, filed December 29, 2025: 69 days. Form D is due within 15 days. The 2022 notice was filed on day 15 exactly, so the deadline is understood inside the company.
  5. The announced number and the filed number do not meet.An investor publication wrote in May 2024 that the company reached Phase 2 “In just two and a half years and with just $7 million in seed capital”. The Form D filed four months before that Phase 2 started reports $17,025,023 already sold. One figure is a spend, the other a raise, and no public document bridges them.
  6. The board grew by one, and the addition writes checks. The 2022 filing lists four related persons. The 2025 filing lists five, adding Francois Nader as a director. The company names Dr. Francois Nader among its angels and calls him chairman of the board. In the same interval Soujanya Bhumkar moves from director to executive officer and director.
  7. Eight years in, it is still called seed.Every company description from 2022 to 2026 calls the capital behind the pipeline seed funding. No priced Series A or B has been announced and no filing describes one. The $6,366,574 unsold in the October 2025 offering is the nearest thing to a live round.

What to watch

  • A closing or amended Form D for the October 2025 offering. $6,366,574 of it was unsold at the filing date.
  • A Form D from any vehicle named for the company. None exists today, so a new one would mark a change in how the round is assembled.
  • A priced round with a name, ending eight years of seed language.
  • Whether Phase 2 primary completion, estimated for October 2026, lands before or after the next raise.
  • A registered trial for GEn-1123. Designations do not become a voucher without one.
