Reading the filings
- Most of the money is not equity.Federal awards total $2,694,507 against $404,000 of securities sold. Of the $3,098,507 documented, grants are 87%. For a device company six years old with no product on sale, that ratio is the story.
- One offering, two snapshots. Both filings carry the same first sale date of March 27, 2025. Over the thirteen months between them the amount sold rose from $200,000 to $404,000 and the investor count from two to five, so the three later cheques averaged about $68,000 against $100,000 for the first two. The amendment also flips the more than one year flag to true.
- No valuation has been disclosed. The offering total is reported as indefinite in both filings and the paper is SAFEs, which defer the price. Nothing on file establishes a post-money valuation, and no priced round appears anywhere in the record.
- Announced money that never reached a Form D.The September 2024 grant release describes an additional $250,000 from existing investors, five months before the offering’s first sale. The June 2025 BrightEdge investment and the September 2026 follow-on of $100,000 have no filing of their own as of this date. Issuers relying on Section 4(a)(2) rather than Regulation D file no Form D, so the gaps do not mean the money is imaginary.
- The first notice was late.First sale March 27, 2025; Form D signed April 14 and filed April 16, twenty days later, against the fifteen day window. A small company with no in-house counsel is the usual explanation.
- The board is two names.Anu Parvatiyar and Wei-Hsiang Chang appear as the only related persons on both filings. Chang is also the principal investigator on all three NCI awards. Evelyn Castle of eha Impact Ventures is described by the company as a board observer from early 2024 and does not appear on either filing, which is consistent with observer status.

What to watch
- A Form D or amendment covering the September 2026 follow-on, due within 15 days of first sale if it was sold under Regulation D.
- A priced round converting the SAFEs, which would put a valuation on the record for the first time.
- A further NCI award or other non-dilutive funding, now that the Phase II period has ended.
- A 510(k) submission, since the company and its investors have tied the next raise to that milestone.
