Reading the filings
- The 2017 money was debt, not equity.Both filings check the debt box and the option-to-acquire box, and neither checks equity. That is the signature of convertible notes or SAFEs. $570,000 in, three investor slots, one of them writing the full $450,000 in August.
- Angels came in through a Texas sidecar four years later.In June 2021 a Geekdom Fund vehicle raised $357,500 from 10 people at a $5,000 minimum, an average of $35,750. Geekdom is a San Antonio fund, and the filing names its principals, not Trexo’s. Trexo filed nothing of its own for that round.
- The Form D record covers a fifth of the reported total.$570,000 plus $357,500 is $927,500 against a company figure of more than $5 million, reported to BetaKit in December 2024. Canadian issuers can sell to Canadian investors without touching Regulation D, so the gap is expected. It also means the public record does not show who owns this company.
- Nothing has been filed since July 2021.EDGAR shows two filings under Trexo’s own CIK, both from 2017, and one sidecar from 2021. Five years of commercial growth, a global recall, a warning letter and a 510(k) submission produced no further Form D.
- No investor appears on the board.Both 2017 filings list exactly two related persons: the founders. No fund partner or outside director is named in any filing.
- The regulatory bill arrived after the revenue.Trexo commercialized in 2017 under a 510(k)-exempt listing, recalled 357 units in 2023, took a warning letter in February 2024, and filed its first 510(k) in December 2025. That put the cost of clearance onto a company already carrying an installed base, with no disclosed financing to pay for it.

What to watch
- A Form D for whatever financed the 510(k) and the US launch, due within 15 days of a first US sale.
- Whether the 2027 US shipping date holds, and at what price.
- Any payer coverage decision for a pediatric powered exoskeleton, the gating item on volume.
- A close-out letter for the February 2024 warning letter, and termination of recall Z-2236-2023.
- A second 510(k) covering children under 12, where most of the installed base sits.
