Reading the filings
- One filing in thirteen years.Human Dx, Ltd. has filed a single Form D, on October 3, 2013, and nothing since. That is unusual for a company still shipping product in 2026. It is not proof that no money moved: issuers that raise under Section 4(a)(2) rather than Regulation D file no Form D at all, and a charity raising grants files none either.
- The checks were seed size, not angel size.$2,803,634 divided by 15 investors is about $186,909 each. That is institutional or large-angel money, not a crowd.
- The round closed exactly.Amount offered and amount sold are the same figure to the dollar, with zero remaining. Filers who are still raising usually report a round number offered and a smaller amount sold. This one reads as a completed round reported after the fact.
- The board on the filing is the founding board.Three names: the founder, Irving Lin, and Albert Wenger. A 2025 PNAS competing interests statement identifies Lin as a cofounder of the Project and states that he and Komarneni hold personal financial interests in it.
- The charity is the smaller pool, and it shrank.Human Diagnosis Project Ltd, EIN 81-0865879, reported $3,080,972 of total revenue across FY2016 to FY2021 against $3,046,203 of expenses. Revenue peaked at $1,002,362 in 2018 and was $56,693 by 2021. Total assets at the end of 2021 were $38,823.
