Reading the filings
- The round was closed before it was announced.First sale May 31, 2024; filed June 13, 2024; sold in full at filing with $0 remaining. The press release went out July 2, 2025. Thirteen months separate the money from the announcement, which is legal and common, and it means the July 2025 coverage describes capital that had been committed for over a year.
- The filed number and the announced number match.$5,515,000 rounds to $5.5 million. Most companies announce a headline figure larger than the Form D, or file an amendment after further sales. Argon did neither. The seed round is one offering, taken down in full, and the public figure is accurate rather than rounded up.
- The average check is angel sized, not fund sized.$5,515,000 across 31 investors is about $177,900 each. A round co-led by two venture firms with 31 participants implies two institutional checks plus a long tail of individuals and small vehicles. The release refers to other investors beyond the four it names, and the filing names none of them.
- No investor sits on the filing.Related persons are the two founders only, Samyar Danesh Bahreini and Cyrus Jia. A Form D lists directors, so a $5.5 million co-led round left the board with no outside seat as of June 2024. Whether one was added later is not visible, because no further filing exists.
- One filing since incorporation, and nothing since.Argon incorporated in Delaware in 2023 and has a single Form D under CIK 0002026471. A company can raise under Section 4(a)(2) and file nothing, so silence is not proof that no money moved. It does mean that as of September 23, 2026 there is no reported Series A and no amendment.
- Aggregator totals are not supported by the record. At least one startup database reports $12.0M across three rounds, including a $6M round dated June 1, 2024 and a $500K round in April 2024, and attaches investor names that appear in no SEC filing and in no Argon announcement. The June entry sits within days of the actual Form D and its amount is close to it, which is consistent with the same offering being counted twice and then added again to the 2025 announcement of that same money. Treat the $12.0M figure as unverified.

What to watch
- A Form D for any offering after June 2024. One is due within 15 days of first sale.
- An amendment to the 2024 filing, which would be the first sign of an outside director.
- Named pharma customers, or a second named consultancy of the size of Basis Health.
- A published security attestation, which enterprise pharma procurement normally requires.
- Licensing terms for the sell-side analyst research the platform resells access to.
