Reading the filings

  1. The round was closed before it was reported.$10,589,641 of a $10,689,641 offering was sold at filing, leaving $100,000, under one percent. Most Form D notices report a partially subscribed offering still taking money. This one reads as a completed round papered after the fact.
  2. The average cheque is angel sized for the round size.$10,589,641 across 39 investors is about $271,500 each. That is not 39 institutions. It points to a lead plus a long tail of individuals, which matches the angel list the company published on its own site.
  3. Filed on day 14 of a 15 day window.First sale December 1, notice filed December 15. Reuters ran a one line item off the filing the same day. The company issued no release of its own that surfaced in searches.
  4. Two related persons, and only two.The filing names the founder and Keith Rabois. No fund is named anywhere in it. Rabois published his own list of investments led at Khosla Ventures in December 2017 and Medisas (Series A) appears on it, which is the only link between the director seat and a fund.
  5. Form D undercounts this company at both ends.EDGAR holds one filing under CIK 0001692364 and nothing else. The accelerator money in 2013 and the seed money after it left no Regulation D notice, and no amendment was ever filed. Issuers raising under Section 4(a)(2) file no Form D, so the absence is not evidence that no money moved.
  6. The issuer declined to disclose revenue.Item 5 is marked decline to disclose. Three years later the founder said the platform carried about a million patients at any time across hospitals in the high tens, but never a revenue figure or a customer name.

What to watch

  • Any new Form D or amendment under CIK 0001692364. None has been filed since December 2016.
  • Whether the CB Insights listing is corrected to match PitchBook, Tracxn and Seedtable.
  • Who holds the domain and the codebase. The live site markets a Mara cognitive engine that appears in no archived capture from 2019 to 2023.
  • Whether any of the 39 investors ever disclosed a markdown or write off of the position.
