Reading the filings

  1. Roughly 8 percent of the reported total is documented.The two offerings on record total $14,053,561 sold against a reported total above $170 million. No Form D covers the Series B, C or D. Issuers raising under Section 4(a)(2) rather than Regulation D file no Form D, so the gap does not mean the money did not move. It means EDGAR stops being a check on the announcements after January 2020.
  2. The Series A filing is larger than the Series A story.Business Insider reported a $9 million Series A led by Kleiner Perkins at a $35 million valuation. The amended Form D for the offering whose first sale was February 4, 2019 reports $11,673,567 sold: $2,673,567 more, about 30 percent above the reported figure.
  3. A board seat vanishes between two filings.Erica Johnson appears as a director on the July 2018 and February 2019 filings and is absent from the January 2020 amendment, which lists only Alyson Friedensohn and Mamoon Hamid. Reporting places her firing in September 2019, between those dates. The amendment is also the first filing the founder signed herself.
  4. The last money in was small money.Between the original February 2019 filing and the January 2020 amendment the investor count went from 17 to 28 and the amount sold from $11,293,580 to $11,673,567. Eleven more investors put in $379,987, about $34,545 each, and the minimum accepted moved from $0 to $4,998: a small-check allocation opened after the lead was set.
  5. The issuer changed its name, not its identity.The 2018 filing names the issuer Modern Healthcare, Inc. The 2020 amendment names it Modern Life Inc., at a different San Francisco address, CIK unchanged at 0001744840. The court docket carries the same pairing.
  6. The unicorn release does not agree with itself.The February 11, 2021 announcement headlines total investment of over $172 million, says in the body that the round brings total funding to over $170 million, then repeats $172 million in the boilerplate. The $170 million figure is the one the company has carried since.
