Reading the filings

  1. Two checks, $37,500 each.$75,000 sold to two investors averages $37,500 apiece, and the securities are options to acquire, which is how convertible notes and SAFEs are reported. This is friends, angels or an accelerator standard instrument, not a priced venture round. $275,000 of the $350,000 offered was never reported sold, and no amendment has been filed.
  2. The filing is under a name nobody searches. The issuer is Caridian Medical, Inc. A search of EDGAR for Corveus Medical returns no company and no documents. The same is true of the NSF grant record, where the awardee of record is Caridian and Corveus appears only as the current entity name. Anyone screening this company by its current name sees a blank sheet.
  3. It was filed 36 days after the first sale.Rule 503 gives an issuer 15 days from the first sale. First sale was September 23, 2021; the notice was filed October 29, 2021. Late Form D filings are common among first-time founders and carry no penalty here, but the date is what it is.
  4. Non-dilutive money is almost four times the reported equity.$255,841 from NSF plus $35,000 in competition prize money is $290,841 of documented funding that cost no ownership, against $75,000 of reported securities sales. That ratio is unusual even for a preclinical device company.
  5. The totals do not reconcile, and the SEC record is the smallest of them.Melton said $900,000 in a pre-seed round in April 2023 and “just under $1M” in August 2024. CB Insights lists $760,000 total raised; PitchBook lists $1.5 million across eight investors; one jobs tracker lists $1 million. The SEC accounts for $75,000. A company raising under Section 4(a)(2) files no Form D at all, so the gap is not evidence that no money moved. It does mean the filed record cannot confirm any of these figures.
  6. No investor has taken a board seat on paper. The 2021 filing lists only the two founders as related persons, each as executive officer and director. Nearly five years later no further filing has added anyone. That is consistent with a cap table of notes and accelerator equity rather than a priced round with governance attached.
  7. The seed round has been open a long time.In April 2023 Melton said the company was raising $1.5 million to fund a three to five patient first-in-human study. PitchBook still lists a $1.5 million seed round as in progress, dated July 13, 2026. The ask has not moved in three years, and neither has the milestone it was meant to buy.

What to watch

  • A Form D under the name Corveus Medical. There has never been one.
  • An amendment to the 2021 filing, or its formal closure.
  • Whether the seed closes at $1.5 million or is resized for a trial that now has to answer REBALANCE-HF.
  • A named institutional investor and a board seat in a filing.
  • An investigational device exemption, which would put a real milestone against the raise.
