- Regulation D covers offerings made into the United States. Bot MD is a Singapore issuer raising from Singapore and Southeast Asian investors, so silence in EDGAR is expected, not a signal. Singapore share allotments are lodged with ACRA.
Reading the filings
- The absence of a Form D is structural, not evasive.A records pull returned zero Form D notices and zero EDGAR filings mentioning the company. A US filing trail would only appear if securities had been sold into the United States under Regulation D, and nothing suggests they were.
- The seed number moved three times in five months.MobiHealthNews reported $700,000 in August 2018. TODAY reported about US$1.59 million in October 2018. Hive Life reported USD 1.6 million in January 2019 and named Floodgate, which neither of the others did. The first two figures are roughly $890,000 apart in eleven weeks. Either the round kept closing, or the first report counted only the accelerator cheque.
- Announcement and database date differ by six weeks.Crunchbase records the Series A announced date as December 22, 2020. The press ran on February 2 and 3, 2021, and Tracxn dates the round February 2, 2021. That matters only when reading growth claims tied to a calendar year: the user numbers in the February coverage describe activity through 2020.
- A new investor appeared in 2025 with no round attached.Verge HealthTech Fund published an investment memo on September 8, 2025 and lists Bot MD as an active portfolio company. No amount, round name or close date has been published, and no third party total has moved since. Five years between the Series A and a disclosed follow-on points to a quiet extension, revenue funding the growth, or both.
- The commercial databases are unreliable here.Tracxn places the company in Palo Alto and lists the founders as Dorothea Koh plus a second entry it cannot resolve. Owler places it in Anaheim, California. The company site, all Series A coverage and the WHO listing place it in Singapore with two named founders. The same databases supply the $5.7M and $6.6M totals, so treat both as indicative.
- Revenue is an estimate standing in for a disclosure.GetLatka publishes $2.3M for 2024, labels it an estimate, and on the same page shows funding as $0. Headcount is equally unsettled: 15 in 2021, 15 again in 2024, 40 by October 2024 per a founder interview, 30 per Tracxn in July 2026.
