Reading the filings

  1. The checks are broad and mid-size, not a few large institutional lines.Forty-two investors split $7,198,993, about $171,400 each. That is consistent with a syndicate of a lead fund, a co-investing fund and a wide angel base, not a two-check institutional round.
  2. The filing sold almost exactly what it offered.Of $7,203,992 offered, only $4,999 was left unsold at the filing date, essentially a fully subscribed round. The sold amount, $7,198,993, rounds to the “$7 million” figure Almond gave TechCrunch and Femtech Insider the same month.
  3. The filing does not name a single investor.Item 3 lists only Tara Raffi and Carly Allen, the company’s own founders, as related persons. Every investor name attached to this round, True Ventures, Offline Ventures, Tony Conrad, Brit Morin, Surbhi Sarna, comes from press coverage and a founder interview, not from the SEC filing itself.
  4. The company’s own disclosure got less specific over time, not more.TechCrunch and Femtech Insider named True Ventures as lead in November 2022, and Forbes added Offline Ventures in August 2024. A Los Angeles Business Journal article from the following month, citing the same $7 million total, said the company “declined to name the funders.”
  5. Only one Form D exists for this company. No amendment and no later new notice appear under CIK 0001955200. If Almond raised a bridge or a later round before it closed, either it was small enough or structured to avoid a Regulation D filing, or it never closed. No later round was ever announced in the press either.

  • Whether a later Form D, an amendment, or any SEC filing recording a wind-down ever appears under CIK 0001955200; none has as of September 2026.
  • Whether any of the named investors, True Ventures or Offline Ventures, comment publicly on the outcome.
  • Whether independent financial reporting on the closure, beyond the company’s own letter and directory listings marking it closed, appears.
