Reading the filings
- Fewer investors, bigger checks. In 2024, $3,600,000 came from 37 investors, about $97,300 each. In 2025, $4,735,000 came from 29 investors, about $163,300 each. The count fell by eight while the average check rose about 68 percent. Neither filing reports sales commissions or finders fees, and neither names a fund.
- The lead investor took his board seat between the two filings. The April 2024 release says the seed was led by Glenn H. Epstein and that “He will serve on Andson’s board of directors.” He is not among the four related persons on the March 2024 filing. He appears as a director on the October 2025 filing, which also adds Jim Filippini as an executive officer. Four related persons became six.
- The 2025 filing followed the press release by one day.First sale Oct 17, 2025. Release dated Oct 21. Form D filed Oct 22, five days after first sale and inside the 15 day window. The 2024 sequence ran the other way: first sale Mar 12, filed Mar 26, announced Apr 30, thirty five days after the filing landed.
- The round was announced at a number the filing does not reach. The company release is headed “Andson Biotech Secures $5.0M in Funding” while its own first sentence says the company “today announced the successful close of a $4.7 million round of funding”. Jones Day, which advised on the deal, states $4.7 million. Georgia Tech’s March 2026 profile refers to “a $3.6 million round in 2024 and a $5 million round in 2025”. The filing settles it at $4,735,000 sold against $5,000,000 offered, with $265,000, or 5.3 percent, unsold at the filing date. No amendment has been filed.
- A quarter of a million dollars of the seed was routed to insiders. The March 2024 filing reports $250,000 of gross proceeds to be paid to executive officers, directors or promoters. The October 2025 filing reports $0 for the same item. In a $3.6 million round that is 6.9 percent of the raise.
- Non-dilutive money is now a fifth of the equity.$1,706,342 of NIH SBIR awards against $8,335,000 of equity sold, or 20.5 percent. Most of it is recent: the $1,403,671 Phase II started Sep 3, 2026, nineteen days before this page’s data date, and runs to Feb 29, 2028.

What to watch
- A Form D for any round after October 2025, due within 15 days of first sale.
- An amendment to the 2025 filing, which would show whether the remaining $265,000 was sold.
- Whether the revenue range moves off Decline to Disclose on the next filing.
- A priced institutional round, which would be the first time a fund appears among the related persons.
- Phase II SBIR output before the award ends on February 29, 2028.
