What the filings show

No Form D or other US securities filing for Bemlo or Bemalong AB appears in SEC EDGAR, and none would be expected for a Swedish company raising from non-US-registered instruments. Reading the filings

  1. The company is small and has never turned a profit.Five straight years of net sales under 8 million SEK, roughly under $800,000 at current rates, with a loss every year. The worst year on record is 2023, a 15.5 million SEK loss against 4.1 million SEK of sales, a loss more than three times revenue.
  2. Revenue is not a straight line.Sales roughly quadrupled from 2021 to 2022, then fell by 40 percent in 2023, then recovered gradually through 2025. That pattern is consistent with a company that changed its product and customer base, which lines up with the 2024 pivot from a staffing marketplace toward scheduling software plus the Vivium acquisition.
  3. Two consecutive years drew auditor attention. The 2024 accounts were flagged for irregular payment of taxes or fees, and the 2025 accounts for a separate, unspecified serious matter. Neither flag by itself proves insolvency risk, but two in a row on a small company’s books is worth tracking into the next filing.
  4. The seed round total is not confirmed by any filing.Every press account of the August 2022 round gives the same $3.3 million figure, sourced to the company’s own announcement, and it is corroborated across at least five independent outlets. No filing breaks that figure down by investor or shows how much of it had actually been received by year end.
  5. No price is on record for the Vivium deal. The acquisition announcement names Vivium’s prior owners by name but discloses no purchase price, and no public filing fills the gap. PitchBook lists the deal as a merger and acquisition with no deal size shown.
  6. Headcount estimates disagree by a factor of two or more.Sweden’s own company register shows 7 employees at last filing. Commercial aggregators, which often lag or round differently, show figures from 11 to 50 up to 18 as of a 2026 snapshot. The register figure is the one filed under legal obligation; the others are estimates.
