Reading the filings

  1. The round closed near the floor, not the ceiling.Wefunder reports $32,890 from 80 investors. Against the $1,070,000 maximum in the Form C, that is about 3.1 percent of what the offering was cleared to take. Average check: $32,890 divided by 80 is about $411.
  2. The floor moved before the money did.The original Form C set a $50,000 minimum on June 24, 2021. Eight days later the company filed an amendment whose stated purpose was to lower that minimum to $20,000, a cut of 60 percent. Reducing the target early is what an issuer does to make sure a thin offering still closes.
  3. The larger number the company quotes has no filing behind it.The Wefunder page claims more than $1 million raised to date plus $310,000 on the same terms. EDGAR shows no Form D for Entelexo Biotherapeutics, under that name or any other. That is not proof the money did not arrive: companies raising under Section 4(a)(2) rather than Regulation D file no Form D at all, and Y Combinator investments often sit in that category. It does mean no filing confirms the figure.
  4. The 2020 books were small and clean.At fiscal year end 2020 the company reported $357,261 in total assets, of which $305,905 was cash, against zero revenue, zero short-term debt, zero long-term debt and a net loss of $70,818. The prior year is all zeros because the company was incorporated in April 2020. Three employees.   5. EDGAR has been silent for five years.The July 2, 2021 Form C/A is the last filing of any kind. The SEC’s own compliance guide states that “An issuer that sold securities in a Regulation Crowdfunding offering is required to provide an annual report on Form C-AR no later than 120 days after the end of its fiscal year,” and that an issuer ending that obligation files a Form C-TR. Neither form appears. The absence is a fact about the record, not a finding about the company.
  6. The asset on record is the patent, not the cap table.US 11,851,470 B2 was granted on December 26, 2023, assigned to Entelexo Biotherapeutics, Inc. of Irvine, with all three founders as inventors. That grant is two and a half years after the last securities filing and is the only public event tied to the company since.
