Reading the filings
- The only Form D on record names a syndicate, not the company.A full text search of EDGAR for “Humane Genomics” and Form D returns exactly one filing, and it is Gaingels Humane Genomics LLC, an investment vehicle organized in Vermont in 2025, not Humane Genomics, Inc. itself. No filing under the operating company’s own name was found.
- The vehicle is small and fully subscribed.Eleven investors put in $70,510 total, about $6,410 each, and none of the offering was left unsold. That size and structure is typical of an angel syndicate riding into a round rather than a lead check.
- Timing lines up with the Series Seed. The SPV’s first sale, March 3, 2025, and its Form D filing, March 17, 2025, landed about three weeks after Humane Genomics said in mid-February 2025 that it had closed a Series Seed round led by Union Square Ventures. The vehicle’s name and timing suggest it is a small pool of investors riding alongside that round, though the filing does not say so directly.
- Two rounds, no dollar figure between them.Neither the company’s own announcement nor the independent outlet FinSMEs, which separately covered the story, put a number on the Series Seed. That leaves the $70,510 SPV filing and the 2021 YC figure of $125,000 as the only two public dollar amounts tied to this company’s fundraising.
- No non-dilutive funding turned up.Searches of NSF and NIH award databases under the company’s name did not surface any grants. Two PubMed-indexed papers list company-affiliated authors, but the sources gathered here do not identify what, if anything, funded that work.
