Reading the filings
- The federal government is the majority funder.$4,780,117 of NIH money against $150,000 of reported venture funding. If the aggregator figure is complete, about 97 percent of identified capital is non-dilutive. The true equity number is unknown, since no Form D exists to confirm or deny it.
- Two projects cleared the Phase II hurdle.ES034312 went from a $218,790 Phase I to $1,028,322 and then $796,881. MD018950 went from $272,365 to $1,483,146, a multiple of 5.4. Phase II conversion is the usual filter in the SBIR program, and this company passed it twice.
- Three Phase I awards are identical to the dollar.ES037592, HL179154 and ES036911 are each $306,871, totaling $920,613. Identical amounts across three institutes indicate a standard Phase I budget ceiling rather than three separately negotiated awards.
- No Form D is not proof of no equity.Companies that raise under Section 4(a)(2) rather than Regulation D file nothing with the SEC. A Y Combinator company with an aggregator-reported 2022 investment and no filing is consistent with that route.
- Revenue is undisclosed.Three list prices are public: $399 for the Exposure Test, $499 for the education program, $999 for the bundled Fertility Kit. Unit volume, repeat rate and gross margin are not. One commercial database estimates annual revenue under $1 million.
- The funding runway is dated. The NIEHS ES034312 project period closed July 31, 2025. The NIMHD Phase II runs to January 31, 2028. Beyond that date, nothing on the public record replaces it.
