What the filings show
No Form D on record · SEC EDGAR · searched Sep 24, 2026
- Registrant
- No EDGAR company match for Zergo or SannTek Labs
- Form D
- Full text search on both names, filtered to Form D, returns zero filings
- Why
- An Ontario issuer selling to US investors can rely on Section 4(a)(2) or Regulation S instead of Regulation D, and neither creates a notice filing
- Last corporate act on record
- Assignment of US application 17/166,895 to SannTek Labs Inc. by Thomas Dunlop and Brad McCloy, effective Jun 7, 2021, later abandoned after no response to an office action
- Filing
- SEC EDGAR and USPTO assignment record
Reading the filings
- The university number and the data service numbers are not the same number.A University of Waterloo notice said the company had completed a seed financing that would inject $2.6 million. PitchBook puts lifetime funding at $190,000, CB Insights at $170,000 and Tracxn at $180,000. Those three add up only the disclosed cheques: $40,000 in June 2018 plus a $150,000 accelerator investment is $190,000. All three list the September 2019 seed with no amount attached, so the $2.6 million never enters their totals.
- The missing Form D is what you would expect here, not a red flag.Searches of EDGAR on September 24, 2026 found no registrant and no Form D under either name. A Canadian company that raises under Section 4(a)(2) or Regulation S files nothing with the SEC. Absence of a filing is not evidence that money did not move.
- The fertility business ran on about seventeen months of that seed. The round is dated September 13, 2019. The fertility site was live by February 2021, the cartridge application was filed February 3, 2021 and assigned June 7, 2021, and one data service dates the wind up to July 2021. Every capital event on record belongs to the breathalyzer, not to the product sold at the end.
- Prize money was a real share of the documented capital.$25,000 at the Velocity Fund Finals, $10,000 from the Esch award and a $40,000 accelerator cheque come to $75,000 before Y Combinator wrote anything, and it came from a university rather than from investors.
- The intellectual property was allowed to lapse. All four filings are abandoned or inactive, including both February 2021 cartridge applications covering the fertility device. A company still selling a diagnostic does not let its cartridge claims go for want of a reply.
- A revenue figure is circulating with nothing behind it.One data service estimates $1.4 million of annual revenue in 2024 on a nine person team, marks the figure estimated, and records no funding at all. Y Combinator lists the company as inactive over the same period, and no independent support for the revenue figure was found.
Commercial signals
| Signal | Detail | Source type |
|---|---|---|
| Regulatory | No FDA 510(k), PMA or device registration listing under either name as of Sep 24, 2026 | Public record |
| Product | Quantitative at-home urine monitor for LH and hCG: reusable analyzer, single use cartridge, phone app | Company-stated |
| Customers | No named clinic, doctor or customer at any point | Not found |
| Science | Two peer reviewed Talanta papers carrying a SannTek Labs Inc. affiliation, Dec 2022 and Jul 2024 | Public record |
| Patents | Four filings, all abandoned or inactive | Public record |
| Status | Inactive on the Y Combinator directory; zergo.com no longer serves the company site | Public record |
What to watch
- A Canadian corporate filing showing dissolution, which would date the end precisely. The July 2021 wind up date rests on one data service and conflicts with a June 2021 patent assignment.
- Any revival or reassignment of the two abandoned cartridge applications, which would name a successor.
- Corrections at the data services that still carry revenue and headcount for an inactive company.

Compiled from SEC, USPTO, FDA and other public records and published reports as of September 24, 2026. Form D notices report offerings under Regulation D; a Canadian issuer relying on Section 4(a)(2) or Regulation S files none, so the absence of a filing is not evidence of an absence of capital. Healthcare Venture Capital Fund holds no position in Zergo. This page is not an offer to sell or a recommendation to buy any security.
