Reading the filings
- There is nothing to read, and that is the finding.A Regulation D offering requires a Form D notice within 15 days of the first sale. Across a company founded in 2017, an accelerator batch, a 2018 seed round and eight subsequent years, EDGAR holds zero filings under Apprentice Health and zero under ClearView MD. Accelerator money and a government loan file nothing, so a small raise can leave no federal trace at all.
- The providers disagree by roughly fifteen times.PitchBook reports $150K raised to date. CB Insights reports $250K. Tracxn reports $2.22M. GetLatka reports $0. The spread between the highest and lowest non zero figure is $2,220,000 divided by $150,000, about 14.8 times. With no filing to anchor them, none of these numbers can be checked.
- The whole CB Insights total is debt, not equity.CB Insights lists four fundings totalling $250K, and the only one carrying an amount is a $250,000 loan dated Apr 15, 2020, attributed to the Paycheck Protection Program. On that accounting, the equity raised that is visible to that provider is $0.
- The checks are small even at the high end.PitchBook counts 7 investors and names 5. CB Insights counts 6. Spreading PitchBook’s $150,000 across 7 investors gives about $21,400 each. Spreading Tracxn’s $2.22M across its 5 named institutional investors gives about $444,000 each. Either way this is an angel and accelerator profile, not a priced institutional round.
- The most recent event moved shares, not cash.PitchBook records the latest deal type as a private secondary transaction. A secondary transfers existing stock between holders and puts no new money into the company. No primary round is recorded after it.
- Headcount fell faster than any capital arrived.GetLatka logs 6 employees in June 2024 and 2 in December 2024, a reduction of two thirds in six months, against an estimated $900,000 of 2024 revenue. Tracxn puts headcount at 2 as of Jun 30, 2026 and PitchBook at 2. A company at 2 people with roughly $900,000 of estimated revenue does not need a round, and has not filed for one.

What to watch
- A first Form D. It would be due within 15 days of the first sale in a Regulation D offering.
- Whether the private secondary is followed by a primary round, or was an exit for early holders.
- Any customer naming itself, and a dated SOC 2 Type II report with a named auditor.
- Whether headcount recovers from two, or the product continues as a small revenue business.
