Reading the filings

  1. One filing covers the company’s entire SEC record.Agape Wellness Inc. has filed a single Form D, in July 2021. Nothing on EDGAR updates the $295,004 gap between what was offered and what had sold at the time of filing, and no later Form D appears under this name.
  2. Launch NY’s follow-on lands inside the filing window. The Form D’s first sale date is July 2, 2021. Rochester Business Journal reported Launch NY’s $125,000 follow-on investment as part of its third-quarter 2021 activity, the same window. At $125,000 against 14 investors averaging about $126,660 each, the amount is consistent with one investor among several, not the bulk of the round.
  3. The filing does not name Ronald Rogge.Only Khadesha Okwudili is listed as a related person, as CEO, director and promoter. Press coverage and the company’s own published research describe Rogge as a co-founder and Chief Research Officer, and he is a named author, alongside Okwudili, on both of the company’s peer-reviewed papers.
  4. The issuer carries two names. The filing lists the issuer as Agape Wellness Inc. and also shows “Agape App, Inc.” The company’s app, website and press coverage all use Agapé or Agapé Wellness Inc.
  5. No federal research money on record.Unlike some health-adjacent startups, this review found no NSF or NIH award tied to Agapé or Agape Wellness Inc. Its two published studies were run and authored in-house, with Rogge’s University of Rochester appointment providing the academic affiliation.
  6. Initial Launch NY amount is not on record.Rochester Business Journal describes the $125,000 as a “follow-on” investment, which implies an earlier Launch NY check, but this review found no report stating that earlier amount.

What to watch

  • Any new Form D. None has been filed since July 2021, despite continued user growth reported through 2026.
  • A primary source for headcount, since the two aggregator estimates on record are far apart.
  • Whether the business-focused product referenced in 2023 reporting has launched, and under what terms.
  • Whether Launch NY or another investor discloses the initial, pre-follow-on investment amount.
