InnaMed

InnaMed raised its money almost entirely through two small dollar crowdfunding rounds, not through the institutional venture rounds its own later account describes. No Form D was ever filed for it. In March 2023 its assets and technology went to Fluxergy, and its SEC filings stopped.

Reading the filings

  1. Both priced rounds are documented, and neither is large. The Republic round closed at exactly its $1,070,000 cap, and the Wefunder round closed at $1,281,106. Together that is $2,351,106 raised on the public record across five years, both as SAFEs with valuation caps, not priced equity.
  2. The company’s later total does not reconcile with any filing.A 2024 interview with co-founder Eshwar Inapuri put total capital raised at $4.5 million from Y Combinator, DCVC and Blue 9 Capital. Blue 9 Capital’s own portfolio page confirms it invested in InnaMed, but no Form D appears anywhere on SEC EDGAR for InnaMed under its name or its CIK. If institutional money came in outside the two Reg CF SAFEs, no public filing records it.
  3. Reg CF is the only fundraising mechanism on the public record.Companies that raise through a private placement exempt under Section 4(a)(2) with only accredited investors, or that raise entirely inside a Reg CF SAFE that institutional investors also bought into, can avoid filing a Form D. Either is possible here. What is not possible is confirming the $4.5 million figure from a public source.
  4. Revenue growth appears to have stalled. The company told investors 2020 revenue reached about $1.4 million, up sixfold from the prior year. The next annual report on file, covering fiscal year 2021, shows revenue of $1,439,995, almost the same number. Read together, revenue likely plateaued around $1.4 million rather than continuing to climb between 2020 and 2021.
  5. The company was young and getting younger in relative headcount.Employees grew from 7 at the report covering fiscal year 2019 to 14 at the report covering fiscal year 2021, roughly matching the founder’s account of growth from about 3 people in 2018 to 14 or 15 by 2021.
  6. The filings stop cold in 2022.No Form C, C-AR, C-U, C/A or C-TR has been filed under InnaMed’s CIK since April 28, 2022, ten months before the Fluxergy deal was announced. A dormant filer that later sells its technology and lets its domain lapse is consistent with a company that quietly wound down rather than one that had an active fundraising or reporting life afterward.

What to watch

  • Whether a Form D or other SEC filing ever surfaces to substantiate the $4.5 million total the company has cited.
  • Whether Fluxergy discloses commercial results from the licensed InnaMed biosensor technology.
  • Whether the NASA and HHS grant amounts InnaMed cited appear in a public federal award database.
