Reading the filings
- The announced number is smaller than the filed number. The Series A was reported on March 17, 2022 as $20 million. The Form D filed two weeks earlier records $25,034,971 offered and the same amount sold, from 24 investors, first sale January 27, 2022. That averages about $1,043,000 each. GenomeWeb reported over $25 million raised in total including seed, so the filing appears to roll seed and Series A together.
- The filing was late, and still beat the press release.A Form D is due within 15 days of the first sale, so the January 27, 2022 sale made this one due about February 11. It was filed March 3, roughly three weeks late, and two weeks before the round was reported.
- The second round tripled in ten weeks and was never announced. The January 12, 2024 notice showed $9,000,001 offered and $4,260,001 sold to 4 investors. The March 22, 2024 amendment raised the offering to $20,000,001 and reported $12,681,692 sold to 15. That is $8,421,691 and 11 investors added in about ten weeks. No release naming a Series B was found. Callisto launched on February 1, 2024, between the two filings.
- Check size fell as the investor count rose. The 2022 round averaged about $1,043,000 per investor. The first four investors in the 2024 round averaged about $1,065,000. The 11 who followed averaged about $766,000 each. The offering also closed $7,318,309 short of its raised target.
- An MIT affiliated vehicle got in early and filed 15 months late.E14 SPV Volta Labs A, LLC reported $1,450,777 from 10 investors, about $145,000 each, with a first sale on January 20, 2022, one week before Volta’s own first sale. The notice was signed April 26, 2023. E14 Funds was named as a Series A participant.
- The board shrank on paper. The 2022 filing lists four directors plus a second promoter. Both 2024 filings list only Umapathi, David Singer and Natan Linder. Maxim Lobovsky and co-founder Will Langford no longer appear.
- Nothing has been filed for 30 months.A sweep of Form D notices by filers named Volta, running through July 2026, turns up nothing further under CIK 0001914755 after March 22, 2024. Companies raising under Section 4(a)(2) file no Form D, so silence is not proof that no money moved.

What to watch
- A Form D for any financing after March 2024. It would be due 15 days after the first sale.
- An amendment closing the $7,318,309 still unsold on the 2024 offering.
- Whether a new director appears on a filing, which would mark a priced institutional round.
- Any disclosed instrument count or revenue figure.
