Reading the filings

  1. The average check fell by almost nine tenths in two years.May 2022: $6,487,499 from 18 investors, about $360,400 each. March 2023: $6,025,692 from 35, about $172,200 each. February 2024: $3,350,344 from 80, about $41,900 each. Dollars roughly halved while the investor count more than quadrupled: the signature of a round filled with small checks rather than a lead.
  2. Announced and filed do not match. The May 12, 2022 release called it a $7 million Series A. The Form D filed that same day reported $6,487,499 sold of $8,000,000 offered. No amendment followed.
  3. One notice arrived fifteen months late. The Form D filed March 22, 2023 reports a first sale of December 17, 2021. Regulation D asks for the notice within 15 days of first sale. That sale also predates the April 2022 sale in the earlier notice, so the two offerings were reported in reverse order.
  4. The valuation went backwards.StartEngine priced the November 2021 crowdfunding at a $20,028,610 valuation. The Form C filed August 2024 set the share price at $0.05686 on a $6,000,000 pre-money, $5,000,000 for the first $500,000 invested. That is roughly a 70 percent cut, stated in the company’s own SEC filing rather than inferred.
  5. Growth does not match the growth award.Revenue was $1,515,596 in 2022 and $2,623,648 in 2025, about 73 percent over three years. The August 2026 release announcing the company’s second Inc. 5000 placement puts the median three year growth among that year’s honorees at 130 percent.
  6. The runway is the open question.Cash fell from $864,994 to $333,284 during 2025 against a net loss of $1,445,890, with $1,732,939 of short term debt. The loss is narrowing, but no equity notice has been filed since February 2024, when $1,649,656 of a $5,000,000 offering went unsold.

What to watch

  • A new Form D or Form C. Nothing since February 2024.
  • The Form C-AR for fiscal 2026, due in spring 2027, which will show whether cash stabilized.
  • Whether the Swisslog channel appears as revenue rather than as a press release.
  • Whether the 2024 down round is followed by a priced round at a higher valuation, or by a sale.
  • Whether the hospital count converges on a single figure across marketing and securities filings.
