Reading the filings
- Three years of financings were filed on a single day.On August 28, 2023 the company filed three Form D notices covering first sales of June 16, 2020, July 30, 2021 and December 22, 2022, plus an amendment to the live 2023 offering. A Form D is due within 15 days of the first sale, so the 2020 notice arrived more than three years late. The company registered with the SEC in 2023, and the catch-up reads as a cleanup of the file.
- The first sale predates the stated incorporation year. All three catch-up notices give 2021 as the year of incorporation, while one reports a first sale on June 16, 2020. The NSF awardee of record is Astek Diagnostics LLC; the SEC issuer is Astek Diagnostics, Inc.
- Checks got larger as the story got later.Average investment per investor runs $34,500 in the 2021 notice, about $127,700 in the twice amended 2023 offering, $287,500 in October 2023 and $375,000 in April 2025. Ten small angels at the start, two institutional size checks at the end.
- Announced money runs ahead of filed money.Form D notices account for $4.15M sold. The company told a trade outlet in September 2024 that it had raised $7.6 million, and a university profile lists $5.3M invested plus $2.3M in grants, of which $1,542,394 is visible in NSF records. Securities sold under Section 4(a)(2) generate no Form D, so the gap is not evidence of anything improper.
- The 2026 round has no Form D yet.TEDCO was announced in August 2026 as leading a $750,000 seed round. The last EDGAR filing, April 28, 2025, reports the same $750,000 sold to two investors. Either the announcement describes money already filed, or a notice is outstanding.
- The target moved in public.A September 2024 trade article carries a correction: “The company has clarified that it is raising $15 million rather than the $25 million it had initially told 360Dx.” The $15 million figure was repeated in February 2025, with a term sheet described as being finalized. No round of that size appears in the filings.

- Board composition after the September 2026 appointment of an executive chairman. Filings list one related person, the founder.
