Reading the filings

  1. The absence is legal, not suspicious.A company that raises under Section 4(a)(2) rather than Regulation D files no Form D at all, and priced seed rounds are often done that way. The result for an outside reader is that there is no filed document anywhere confirming the $7.2 million, the share class, the pre-money valuation or the investor count. The figure rests on the company’s own August 2021 release, which trade press repeated.
  2. Every dollar is dilutive.NIH RePORTER and NSF return nothing for this company, and no SBIR award appears. That is unusual for a Utah diagnostics company running a 2,000 patient tissue study, and it means the seed round carried the full cost of the laboratory, the sample logistics and the clinical consortium.
  3. Twenty one months from round to exit. The seed closed in August 2021. The acquisition was announced on May 23, 2023. A $7.2 million seed at that burn profile does not usually last much beyond two years, so the timing is consistent with a company selling near the end of its runway rather than from a position of strength. No later financing was ever announced.
  4. The acquirer disclosed nothing and needed to disclose nothing.Pathos AI was private, had raised $40 million at the time, and folded Known Medicine in without a price. There is no 8-K, no S-1 disclosure and no Form D naming the transaction. Pathos has since raised a $365 million Series D at roughly $1.6 billion post-money and acquired Rain Oncology, a public company, where the terms were disclosed.
  5. The clinical record stopped when the money changed hands. The last update to NCT05338073 was posted on April 24, 2023, one month before the acquisition. The study is now listed as unknown status with no results. For an investor, that is the single most informative date on the page: the validation programme the seed round was raised to fund has produced no public output.

What to watch

  • Any disclosure of the Known Medicine purchase price, most likely in a future Pathos AI registration statement.
  • Whether Pathos names the organoid platform in its own filings. Its 2026 platform page does not mention 3D cell culture.
  • Any update, completion or withdrawal of NCT05338073, dormant since April 2023.
  • Whether the seed investors disclose a mark on the position in any public fund reporting.

Compiled from SEC, NIH, NSF and ClinicalTrials.gov public records and published reports as of September 23, 2026. Form D notices report offerings under Regulation D; a company that raises outside Regulation D files none, so the absence of a filing is not evidence that no money moved. Healthcare Venture Capital Fund holds no position in Known Medicine. This page is not an offer to sell or a recommendation to buy any security.
