Reading the filings

  1. The average check was about $570.$362,718 across 636 investors divides to $570.31 each. That is a retail crowd, not a syndicate. Vetted raised $3.3 million from named venture firms in the same period, roughly nine times VetPronto’s entire crowdfunding total.
  2. The offering closed early, not late.The September 2016 Form C set a deadline of March 8, 2017. The November 3, 2016 amendment moved it to November 10, 2016, pulling it in by four months mid-raise. Reg CF permits an earlier close with notice, so the move is legal; it is also the opposite of what an offering with momentum does.
  3. Revenue is reported as zero in all three years.Every filing reports $0.00 of revenue for 2014, 2015 and 2016 while reporting cost of goods sold of $23,760, $435,194 and $728,722. The offering page advertised 35 percent gross margins, 15 percent compounded monthly revenue growth and 3,500 customers. The likeliest reading is that revenue was entered in the cost of goods sold field. No amendment corrected it.
  4. Losses narrowed while cash rose.Net loss fell 34 percent, from $602,419 to $398,861, and year end cash rose from $260,071 to $332,798. The crowdfunding money closed inside that window, so the cash line reflects the raise more than operations.
  5. The required follow-on filings are missing.One annual report, for 2016. No Form C-U progress update and no Form C-TR terminating the reporting obligation, even after the November 2017 acquisition. The EDGAR file simply stops.
  6. No Form D was ever filed.A records pull on September 23, 2026 found no Form D under the company name and no Regulation D vehicle formed around it. The earlier money, including the $500,000 seed the pitch page claims, either moved under Section 4(a)(2) or was never noticed. The founder’s account fits: he wrote that they never convinced a professional investor to take a significant stake or sit on the board, and no outside director appears on any filing.

  • Capital in the category since: The Vets raised $40 million in January 2022, merged with BetterVet in October 2024, and canceled all appointments on July 21, 2025. HomewardVet closed on April 30, 2026.
  • Bond Vet raised $170 million from Warburg Pincus in October 2021 and merged with Small Door in July 2026.
