Reading the filings
- The filing is $5.5 million bigger than the press release.The Series A was announced on June 22, 2022 at $17 million. The Form D filed on July 8 reports $22,499,000 sold, nothing remaining, first sale May 11, 2022. That is $5,499,000 more, and more than any seed figure published for this company: $2.7 million, US$3.9 million or $3.5 million. Earlier instruments converting into the same priced offering would explain it. The filing does not say so.
- The cheque size is institutional.$22,499,000 across 41 investors averages about $548,756. That is a lead fund, a handful of co-investors and a set of named angels, not a crowd.
- The money sits offshore, the people do not.The issuer is a Cayman Islands company formed in 2021. Its business address and all three listed directors are in Las Condes, Santiago. No US operating entity for Examedi appears in EDGAR at all.
- The 2026 vehicles are small, and they arrived late.Together the two Sydecar series raised $174,132 from 45 investors. One of them is named for November 2025, the month the down round was reported, yet its first sale was March 13, 2026, four months later. The other, lettered B, sold first, on February 11, 2026. Both report $5,500 of proceeds going to officers or directors, the administrator fee.
- The vehicles cover less than a quarter of the reported round.$174,132 against the US$750,000 reported in November 2025 is about 23%. The rest produced no Form D, which happens when the remainder comes from existing preferred holders under an earlier authorisation, or when the issuer relies on Section 4(a)(2).
