Reading the filings

  1. The filed number is bigger than the announced number.The October 5, 2021 release called it a $25 million Series A. The Form D filed four weeks later reports $28,397,117 offered and the same amount sold, with nothing remaining. That is $3,397,117 more than the press figure, about 13.6 percent above it. Rounding down for a headline is common; the filing is the number that was signed.
  2. Ninety three investors is a crowd.$28,397,117 across 93 investors averages about $305,300 each. A six fund round does not produce 93 names. It fits the release, which lists six institutions plus the founders of Daring Foods, Good Culture, Hungryroot, RXBAR and Waterloo. The long tail of angels shows up in the investor count rather than in the dollar total.
  3. The filing was late and the announcement came first.First sale was September 13, 2021. A Form D is due within 15 days of first sale, which would be about September 28. The press release went out October 5, the form was signed October 30, and it reached EDGAR on November 2, roughly 50 days after the first sale. Nothing about that changes the economics, but it means the public heard the number before the regulator did.
  4. Nobody searching for this company by name would find it.The issuer is Imvela Corp., a Delaware corporation in the Brooklyn Navy Yard. EDGAR company search returns no match for Kingdom Supercultures or Kingdom Superculture, and EDGAR full text search returns zero documents for either. The link between the brand and the filer appears in a 2021 trademark application, where Imvela Corp is listed as the owner of the mark KINGDOM SUPERCULTURES. Screening databases keyed to the trading name will show this company as having never filed.
  5. One filing in seven years.The 2020 seed round of $3.5 million has no Form D under Imvela Corp or either Kingdom name, and no filing has been made since November 2021. Issuers that raise under Section 4(a)(2) rather than Regulation D file nothing, so the absence is not evidence that no money moved. It does mean the SEC record covers a single offering.
  6. The company total and the record do not meet.In a September 2026 interview the CEO said the company has raised $40 million. Public records support $28,397,117 from the Form D plus a reported $3.5 million seed, or $31.9 million. A funding aggregator adds a $650,000 grant in August 2023 and puts the lifetime total at $30.4 million. The unexplained remainder is roughly $8.1 million, and no filing on EDGAR accounts for it.

  • Any trial of either ingredient run by a group that Kingdom does not employ.
